Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you (“User,” “you,” or “your”) and WayFy Inc. (“WayFy,” “we,” “us,” or “our”). These Terms govern your access to and use of the WayFy App and Website, including any content, features, and services (the “Service”). By accessing or using the Service, you accept and agree to these Terms and our Privacy Policy.

1. Eligibility and Account Registration

1.1. Eligibility.
You must be at least thirteen (13) years of age and a lawful resident of the United States to use the Service. You represent and warrant that you meet these eligibility requirements.

1.2. Account Registration.
To access most features, you may be required to register an account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of unauthorized use or security breaches. We reserve the right to suspend or terminate your account if you provide false or incomplete information, or otherwise violate these Terms.

2. Use of the Service

2.1. License.
Subject to these Terms, WayFy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes only.

2.2. Prohibited Conduct.
You agree not to:

  • Use the Service for any unlawful, fraudulent, or prohibited purpose
  • Copy, scrape, extract, or harvest data or content by manual or automated means
  • Use bots, spiders, scrapers, or other automated means to access the Service
  • Impersonate any person or entity, or misrepresent your affiliation
  • Decompile, reverse engineer, or disassemble the Service
  • Circumvent or disable security or digital rights management features
  • Interfere with, disrupt, or harm the Service, servers, or users
  • Upload, transmit, or distribute malware, viruses, or harmful code
  • Attempt unauthorized access to the Service or user accounts
  • Violate applicable law or third-party rights

We reserve the right to investigate and take legal action for violations.

3. Intellectual Property

All content, features, functionality, and software of the Service are the exclusive property of WayFy Inc. and its licensors, protected by U.S. and international intellectual property laws. You may not use our trademarks, branding, or content without prior written consent.

4. Third-Party Content & Links

The Service may contain links to third-party sites (including Expedia Group properties). WayFy Inc. does not control or endorse third-party content and is not responsible or liable for such content, sites, or your interactions with third parties. Transactions with third parties are solely between you and the third party.

5. Privacy

Your use of the Service is subject to our Privacy Policy, which describes our data collection, use, sharing, and protection practices. Please review it carefully.

6. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WAYFY INC. MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF INFORMATION, RECOMMENDATIONS, OR THIRD-PARTY CONTENT. USE OF THE SERVICE AND ITS CONTENT IS AT YOUR OWN RISK. YOU ARE RESPONSIBLE FOR ASSESSING THE SUITABILITY OF ALL ACTIVITIES, RECOMMENDATIONS, OR INFORMATION.

WayFy Inc. does not warrant that the Service will be uninterrupted, error-free, or free of viruses or harmful components.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYFY INC. AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OR INABILITY TO USE THE SERVICE OR CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Indemnification

You agree to indemnify, defend, and hold harmless WayFy Inc. and its affiliates, officers, directors, employees, and agents from any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorney’s fees) arising from your violation of these Terms or your misuse of the Service.

9. Paid Features

All features are currently free. WayFy Inc. reserves the right to introduce paid features or subscriptions in the future, which will be subject to additional terms and clearly disclosed prior to purchase.

10. Termination & Suspension

WayFy Inc. may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms, applicable law, or is otherwise harmful to WayFy, users, or third parties. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, limitations, and indemnities) will survive.

11. Governing Law

These Terms, your use of the Service, and any disputes shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles.

12. Dispute Resolution & Arbitration

12.1. Binding Arbitration.
Except where prohibited by law, you and WayFy Inc. agree to resolve any disputes, claims, or controversies arising out of or relating to these Terms or the Service through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will take place in the State of Delaware or at another mutually agreed location.

12.2. Class Action Waiver.
YOU AND WAYFY INC. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION. UNLESS BOTH YOU AND WAYFY INC. AGREE, NO ARBITRATOR MAY CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON.

12.3. Opt-Out.
You may opt out of arbitration within thirty (30) days of first accepting these Terms by emailing legal@wayfy.co with your name and intent to opt out.

12.4. Exceptions.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in state or federal court in Delaware for any intellectual property or proprietary rights matter.

13. App Store Platform Terms

13.1. App Store Terms Apply.
If you access the Service through the Apple App Store, Google Play Store, or other distribution platform (“App Provider”), you acknowledge and agree to comply with the applicable App Provider’s terms and policies. These Terms are between you and WayFy Inc. only, not with the App Provider.

13.2. App Provider Not Responsible.
WayFy Inc., not any App Provider, is solely responsible for the Service and its content. The App Provider has no warranty or maintenance obligation with respect to the Service and is not responsible for any claims related to the Service or your use thereof.

14. Modifications to Service and Terms

WayFy Inc. reserves the right to modify, suspend, or discontinue the Service or these Terms at any time, in our sole discretion. Material changes to these Terms will be communicated via our website, the app, or by email. Your continued use of the Service constitutes acceptance of updated Terms.

15. Severability & Waiver

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. No waiver by WayFy of any term or condition shall be deemed a further or continuing waiver of such term or condition.

16. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of WayFy Inc. We may assign these Terms at any time without notice or consent.

17. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies or terms referenced, constitute the entire agreement between you and WayFy Inc. regarding the Service and supersede all prior or contemporaneous understandings.
